Terms of Use

These Waide Academy Terms of Use govern Waide Academy (“Academy”), a project of The Waide Company LLC, an Idaho limited liability company (“The Waide Company,” “we,” “us,” or “our”). They apply to:

They do not govern Waide account signup, sign-in, billing, or general profile tools. Those are on account.thewaidecompany.com and are covered by The Waide Company Terms of Use and Privacy Policy.

These Terms supplement the company Terms. For Academy-specific matters, these Terms control if they conflict with the general company Terms.

By using the Academy application, a Cadet login, or the Academy marketing site where these Terms are posted, you agree to these Terms. If you do not agree, do not use the Academy.

To purchase Academy access or create and manage Cadet profiles, you use a Waide account on account.thewaidecompany.com. Account creation rules, purchases, billing, and account security are governed by the Company Terms of Use and Privacy Policy, not this document.

When you complete Academy setup in your Waide account (such as adding a Guardian role or creating a Cadet profile), you must follow those company policies. When a Cadet signs in and uses the Academy application, these Academy Terms apply.

Waide Academy is an educational platform that uses interactive lessons, journals, progress tracking, and AI-generated mentor dialogue to help learners reflect, reason, and develop practical skills.

The Academy was developed primarily for middle-school and high-school learners, but it may be used by learners of different ages when appropriate.

The Academy is a supplemental educational product. It is not a school, accredited educational institution, emergency service, or substitute for professional care or advice.

We may add, modify, remove, suspend, or discontinue Academy features at any time.

A Cadet profile is a learner profile linked to a managing Waide account. It is not a separate Waide account. Cadets enter the Academy at app.waideacademy.com using separate credentials (which may include an auto-generated username and PIN). Those credentials do not provide access to the managing account holder’s Waide account.

A Guardian may manage Cadet profiles for a learner only when legally authorized. By creating or managing a Cadet profile for another learner in your Waide account, you represent that you have that authority, that the information you provide is accurate, that you will complete required notices and consent, that you will provide credentials only to the intended Cadet, and that Academy records may remain associated with your account as described in the Academy Privacy Policy.

A user age 13 or older may use a self-managed Cadet profile tied to their own Waide account and represents that their information is accurate and they will follow these Terms.

A child under 13 may not create a Waide account. A Cadet under 13 must be set up by a parent or legal guardian through the Waide account portal and may use the Academy only after the parent or guardian completes the parent notice, verification, and consent steps required before the child’s information is collected for Academy use.

We may refuse, suspend, or terminate Academy access or a Cadet profile if authorization, consent, or required information is missing or inaccurate.

A Guardian managing a Cadet may view Academy records associated with that profile, including:

Academy writing and dialogue on a Guardian-managed profile should not be treated as private from that Guardian. Some internal records (such as certain login activity or beta feedback) may not appear in the Guardian dashboard.

The Academy includes AI-generated representations of historical figures and other mentors. They are educational simulations, not the actual figures, and responses may be inaccurate, incomplete, or inappropriate. Users should exercise judgment and speak with a trusted adult or qualified professional when appropriate. Limited information may be sent to service providers to generate dialogue and audio, as described in the Academy Privacy Policy.

Cadets may raise sensitive topics in dialogue or journals. The Academy may encourage contact with a trusted adult or emergency services when concerning language is detected.

A person facing immediate danger should contact emergency services or a trusted adult directly.

The Academy is not a substitute for professional help. In particular:

Cadets may submit written content through the Academy, including dialogue messages, Compass and Campaign entries, journal entries, lesson responses, feedback, and survey responses.

You retain any rights you may have in the original content you submit. You grant The Waide Company a non-exclusive, worldwide, royalty-free license to store, process, reproduce, display, analyze, modify, and use submitted content as reasonably necessary to:

Where appropriate, we may use de-identified or aggregated information that can no longer reasonably identify an individual learner.

Authorized Waide Company personnel may review Academy dialogue, journals, progress, and related information for mentor quality, lesson improvement, product development, troubleshooting, safety review, customer support, security, misuse investigation, and internal research. Academy submissions should not be treated as confidential communications with a therapist, doctor, lawyer, clergy member, or other professional adviser.

You may use the Academy only for lawful, personal, and educational purposes.

You may not:

We may suspend, restrict, or terminate Academy access or a Cadet profile if we reasonably believe these Terms were violated, required consent is missing, fraud or abuse occurred, continued access poses a risk, or access must be limited for technical, legal, safety, or operational reasons. We may act with or without prior notice where permitted by law. Termination for misconduct does not create a right to a refund except where required by law.

Academy Beta Access runs from June 18 through September 30, 2026. The beta is early access and may contain bugs, incomplete features, interruptions, or changes. Features may be added, modified, delayed, removed, reset, or discontinued during the beta.

Beta participants who complete at least one hour of Academy dialogue during the beta period and submit the beta-tester survey may receive one complimentary semester of Academy 1.0 during 2027, subject to Academy 1.0 terms in effect when redeemed. We may adjust beta dates or procedures for technical, legal, operational, or security reasons.

The Academy and its contents (including software, designs, branding, media, characters, mentor representations, lessons, and educational materials) are owned by The Waide Company or its licensors. We grant you a limited, revocable, non-exclusive license for personal educational use. No ownership is transferred to you.

The Academy may use third-party providers for hosting, database storage, authentication, AI response generation, text-to-speech, security, and payment processing related to Academy access. We are not responsible for their independent acts or policies.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE ACADEMY IS PROVIDED “AS IS” AND “AS AVAILABLE.” THE WAIDE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.

WE DO NOT GUARANTEE THAT THE ACADEMY WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR FREE FROM ERRORS. WE DO NOT GUARANTEE ANY PARTICULAR EDUCATIONAL, PERSONAL, ACADEMIC, PROFESSIONAL, OR OTHER OUTCOME.

SOME JURISDICTIONS LIMIT CERTAIN DISCLAIMERS. THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WAIDE COMPANY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE ACADEMY.

THIS INCLUDES DAMAGES FROM LOSS OF ACCESS, LOSS OF DATA, RELIANCE ON AI-GENERATED RESPONSES, OR FAILURE OF AN AI-GENERATED RESPONSE TO IDENTIFY OR ADDRESS A SAFETY CONCERN.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE ACADEMY WILL NOT EXCEED THE GREATER OF WHAT YOU PAID FOR THE APPLICABLE ACADEMY ACCESS IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS.

You agree to indemnify and hold harmless The Waide Company from claims arising from your misuse of the Academy, violation of these Terms, violation of others’ rights, false or unauthorized actions through your account or Cadet profile, or your unlawful conduct, to the extent permitted by law.

We may update these Terms with a revised “Last Updated” date. Continued Academy use after changes take effect means you accept the updated Terms.

These Terms are governed by Idaho law. Disputes must be brought in courts with jurisdiction over Ada County, Idaho, unless applicable law requires otherwise.

If a provision is unenforceable, the rest remains in effect. These Terms, the company Terms of Use, the company and Academy Privacy Policies, and any notices presented to you form the entire agreement for Academy access and use.
