Terms of Use

These Terms of Use (“Terms”) govern Waide Academy, including waideacademy.com, app.waideacademy.com, Guardian tools, Cadet accounts, dialogues, AI features, and related services (the “Academy”). The Academy is operated by The Waide Company LLC, an Idaho limited liability company (“Waide,” “we,” “us,” or “our”). By creating an account, purchasing access, managing a Cadet, or using the Academy, you agree to these Terms. If you do not agree, do not use the Academy.

Account signup, sign-in, billing, and general profile tools on account.thewaidecompany.com are also governed by The Waide Company’s Terms of Use and Privacy Policy on thewaidecompany.com. For Academy-specific use of the marketing site and application, these Terms control if they conflict with the company Terms.

The Academy is for users 13 and older. Users under 13 may not create or use a Cadet account. A parent or legal guardian (“Guardian”) may create and manage a Cadet profile for an eligible learner and represents they have authority to do so. Users 13 or older may also use a self-managed Cadet where the platform supports it.

Guardians manage billing and Cadet profiles. Cadets use the learning tools. Guardians of managed Cadets may view educational records for those Cadets, including transcripts, scores, progress, writings, and related Academy records. Cadets on Guardian-managed profiles should not treat Academy activity as private from their Guardian. Keep credentials confidential; do not sell, transfer, or share accounts for unauthorized use. A Cadet may request transfer of Academy history to a self-managed account through our contact process; we may require verification and may deny or delay a transfer when needed for security or legal reasons.

Waide Academy is a supplemental educational platform. It is not an accredited school, diploma program, licensed counseling service, medical provider, law firm, financial adviser, or substitute for professional care. Completing Academy activities does not grant a diploma, license, or guarantee of academic, career, financial, health, or other outcomes. Academy content may address mature topics (including religion, morality, relationships, mental health, addiction, money, government, and technology). Guardians should review the curriculum before enrolling a Cadet. Use of the Academy acknowledges that dialogues may cover difficult or personal subjects. Academy content is educational only and is not individualized medical, legal, financial, or other professional advice. The Academy is not an emergency service.

The Academy uses AI for mentor dialogue, evaluation, feedback, scoring, and related features. AI output can be inaccurate, incomplete, or inappropriate. Do not rely on it as the sole basis for medical, legal, financial, mental-health, emergency, or other professional decisions. Scores, gates, mastery markers, and similar measures are internal educational tools—not clinical, psychometric, or standardized academic assessments. We may change models, providers, scoring, and curriculum as the product develops.

Academy 1.0 tuition is $900 for six months of access, unless another offer is stated at purchase. Payment is a one-time charge and does not auto-renew unless you later agree to a different offer. Payments are processed by providers such as Stripe; we do not store complete card numbers.

All sales are final and non-refundable once purchased, except where required by law. Non-use, incomplete participation, dissatisfaction, suspension for Terms violations, or personal circumstances do not create a refund right. We may issue a discretionary refund or credit in exceptional cases without creating a future obligation. Reasonable product or feature changes, and ordinary downtime for maintenance or third-party failures, do not entitle you to a refund.

Use the Academy only for lawful educational purposes. You may not share or sell credentials; impersonate others; probe or attack our systems; scrape or extract content without written permission; reverse engineer proprietary systems except where law forbids that restriction; introduce malware; harass or threaten others; manipulate AI, scoring, or progression systems; commit fraud; or submit sexually explicit, threatening, or severely abusive material outside legitimate educational context. We may investigate misuse and may restrict, suspend, or terminate access to enforce these Terms, protect users or the Academy, investigate abuse, comply with law, address nonpayment or chargebacks, or stop interference with the service. Termination for violation does not create a refund right.

You retain rights in original content you submit (dialogue, writings, Compass/Campaign material, feedback, and similar “User Content”). You grant Waide a worldwide, non-exclusive license to host, store, process, reproduce, analyze, and use that content as needed to operate the Academy, provide features, maintain records, generate AI responses and evaluations, improve the product, provide support, maintain security, and comply with law, for as long as the content is kept in identifiable form for those purposes. We may retain and use de-identified or aggregated information indefinitely. Feedback about the product may be used without restriction or compensation.

The Academy’s software, curriculum, mentors as presented in-product, designs, prompts, branding, and related materials are owned by or licensed to The Waide Company LLC. You receive only a limited, personal, revocable license for intended educational use. No ownership is transferred.

To the fullest extent permitted by law, the Academy is provided “as is” and “as available.” We do not warrant uninterrupted or error-free service, accurate AI output, or any particular outcome. Nothing here excludes warranties that cannot legally be excluded.

To the fullest extent permitted by law, The Waide Company LLC and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Academy. Our total liability related to the Academy or these Terms will not exceed what you paid Waide for the Academy in the twelve months before the claim. Some jurisdictions limit these exclusions.

To the extent permitted by law, you agree to indemnify The Waide Company LLC against claims arising from your unlawful use of the Academy, material violation of these Terms, or infringement of others’ rights, except where law forbids indemnifying Waide for its own unlawful conduct.

Use of the Academy is also governed by the Waide Academy Privacy Policy. We may revise these Terms; material changes may be noticed through the Academy, email, or the Guardian account. Continued use after revised Terms take effect means you accept them where permitted by law. These Terms are governed by Idaho law. Disputes must be brought in courts serving Ada County, Idaho, unless law requires otherwise. If a provision is unenforceable, the rest remains in effect. These Terms, the Privacy Policy, and any terms presented at purchase form the agreement for Academy use.
